The Friends of the Milford Library, Inc

Bylaws

Article 1

Name

The name of this association shall be The Friends of the Milford Public Library, Inc.

Article II

Purpose

It is recognized that the administration of the Milford Public Library is vested in the Milford City government and the Milford Public Library Board.

The purpose of the Friends shall be:

Section 1. To maintain an association of persons interested in books and libraries and to foster relations between the Milford Library and the residents of Milford.

Section 2. To focus public attention on library services as well as the needs of the library.

Section 3. To stimulate gift giving of books, collections, electronic equipment and media, endowments and bequests.

Section 4. To encourage and support fund raising activities.

Section 5. To provide and support programs and events for the community which are compatible with the Library's policies and objectives.

Article III

Membership

Section 1. Membership of this organization shall be open to all individuals in sympathy with its purpose.

Section 2. Membership categories shall include: individuals, household, patrons, sponsors, business, and lifetime. Fees for each membership category are to be determined by the Executive Board. Annual dues shall be $5.00 for individuals members. $10.00 for household, $25.00 for patrons, $50.00 for sponsors, $75.00 for business, and $200.00 for lifetime. Dues are payable each year by May 1. The executive Board may authorize changes in these fees. The membership year begins on May 1st and ends on April 30th.

Section 3. Meetings of the general membership shall be held at least once a year. The annual meeting shall be held in May, and a second membership meeting in October. Meetings of the Executive Board shall meet three times a year, or as called by the President.

Article IV

Officers and Committees

Section 1. The officers shall be a President, a First Vice President/Program Chairman, a Second Vice President/Membership, a Secretary and a Treasurer.

Section 2. The term of office shall be two consecutive years, with elections held biannually at the annual meeting. Vacancies in office shall be filled by the incumbent Board Members.

Section 3. A nominating committee of three members appointed by the Executive Board shall present a slate of officers. Nominations may also be made from the floor. Each officer shall be voted on separately and in order. A plurality of members present shall be necessary to elect each officer. No one may be nominated without his/her consent.

Section 4. The standing Committees shall be as follows: Publicity, Special Events, Fund Raising, and Teen/Children events. The President shall appoint all Chairs of the Standing and Ad hoc committees.

Section 5. The Officers and Standing Committee Chair persons shall be known as the Executive Board and shall serve as the governing body of this association. The Board shall meet at the request of the President.

Section 6. The President is an officio member of all committees with the exception of the Nominating Committee.

Section 7. There shall be an Executive Committee composed of the elected officers of the Friends. The Executive Committee is empowered to transact business in the interval between board meetings.

Article V

Funds

Section 1. The Treasurer shall be responsible for maintaining an adequate Book of Accounts and an annual audit.

Section 2. Activities of the Friends shall be self-supporting. All funds accrued by the Friends of the Milford Library association shall be deposited to the account of The Friends of the Milford Library, Inc. at a selected bank and shall be disbursed by the Executive Board to be used for the purposes of the Library. Disbursement of all sums $100.00 or more shall be subjected to the approval of a quorum of the Executive Board of the Friends of the Milford Library.

Article VI

Amendments

The Bylaws may be amended at any general meeting of this association by two-thirds majority vote of the members present. Notice of the proposed amendment shall be mailed to all members at least two weeks before said meeting.

Article VII

Dissolution

In the event that the organization is dissolved, the assets remaining shall by two-thirds vote of the existing Friends of the Milford Public Library Executive Board be disbursed to the Non-Revenue Funds Accounts of the Milford Public Library Board.

Article VIII

Parliamentary Authority

All meetings shall be conducted according to Robert's Rules of Order Revised except when in conflict with these Bylaws or with the laws of the State of Connecticut.
